 RUSTICA: Plot of land located in the municipality of Estepona, in the district of Arroyo de Enmedio, comprising a surface area according to the Registry of fourteen thousand five hundred and sixty-one meters and sixty-six square decimeters, and according to the approximate title of fourteen thousand eight hundred sixty-four meters with thirty square decimeters.  The boundaries of this farm are: To the North, with the first and second parcels segregated from this farm, to the South, with the maritime land area, to the East, with the third parcel, also segregated from this, and to the West, with the old layout of the Cádiz-Málaga main road, and with land owned by Naturaleza Costa del Sol, S.A.  before Messrs. Delgado Monteagudo, Delgado Algas and Aguilar Sanchez.  This farm is once again described following the document presented and after the segregations of the same carried out.  Under the provisions of article 541 of the Civil Code, Naturaleza Costa del Sol, S.A.  It constitutes an apparent sign of easement for pumping dirty water on this farm, installing the return pipes to the treatment plant on it; it also constitutes an apparent sign of reciprocal easement of passage between farm numbers 22,278 and 22,280 registered respectively on pages 37 and 39 of this volume and the farm of this number.  Constituted easements will acquire full registration effectiveness when any of the dominant or servient properties, or farms from them, pass power to a third party.  It is valued at twenty-seven million four hundred eight thousand six hundred and sixty pesetas.  CHARGES: Affects the payment of capital gains.

About the Finca described Naturaleza Costa del Sol, S.A. is building the First Phase of a naturist vacation town, called Costa Natura, provisionally qualified by the Ministry of Commerce and Tourism in the THREE STAR category, according to the resolution of June 26, 1979.  The beach area has been authorized as a naturist beach by the Malaga Civil Government, according to the resolution of January 30, 1979.  Said First Phase of the vacation town is made up of a set of buildings of different heights and compositions, which make up different accommodation units described below.

F. SURFACE PARKING.  Formed by a slab of reinforced concrete and mass concrete, with the corresponding signposting.  It occupies an area of ​​1,710 m2  It borders to the North, with plots numbers 1 and 2 of the same entity and with the main farm, to the South, with the main farm, to the East, with plot number three of the same entity, and to the West, with the old CN 340 road.

G. I. CLINICAL SERVICES AND TOILETS.  Brick building and flat roof, with an area of ​​21.10 m2.  It borders to the North, with the main farm, and to the South, East and West with plot number 3 of the aforementioned entity.

J. STORES IN BASEMENTS.  They are formed by four rooms, the first of 10.55 m2  next to farms numbers 132 and 133, the second of 21.10 m2  under farm number 137, the third of 42.20 m2 under farm numbers 139 and 142, and the fourth of 31,65 m2  under the farms numbers 140 and 143. To facilitate the legal conveyance of the different accommodation units that will make up the Costa Natura holiday town, without prejudice to exploitation under the regime of tourist accommodation with the provisional category of THREE STARS, Naturaleza Costa del Sol, S.A.  constitutes in the regime of Horizontal Property the buildings described above, forming the independent units indicated.

ARTICLE 1. GENERAL RULES.

ARTICLE 2. OBJECT.

Its purpose is:

a).  The best use, use, maintenance, conservation, and, where appropriate, improvement of the common goods and services of the city of Vacaciones.

b).  The observance of all the norms and ordinances that are legally imposed on the vacation city and its community, promoting, where appropriate, their modification and reform, and complementary within their competence.

c).  Everything that refers to achieving the most harmonious relationship between the owners, satisfying their common interests, and maintaining the naturist, residential, and tourist character of the city of Vacaciones. 

ARTICLE 3. COMMON ASSETS.

Common elements and services in addition to those listed in article 396 of the Civil Code are:

a).  Roads, shoulders, walkways, free spaces and non-private green areas, reception, control booth and access from the beach, treatment plant, swimming pools, transformation center, water tank, parking, workshops, warehouses, infirmary and in general, all the surfaces and constructions of the city of Vacaciones not included in the boundaries of any building complex.

b).  The general networks of: Sanitation.  Water distribution.  Irrigation of common areas.  Electric power supply, as long as it is not assured as a public service by the Concessionary Company.  Lighting and points of light in common areas.  Telephone, television, and telex.

c).  The services of: Access control and interior surveillance.  Cleaning of roads and common areas.  Garbage collection and disposal.  Creation, replacement, and conservation of gardens and trees.  Pool surveillance.  In general, the common property will be real estate that, Not being part of the private properties, they are included within the limits of the city of Vacaciones and all the goods that are destined for the common use or the general service of the community, including those that it acquires, and will be common services all those that are necessary for the purposes of the community defined in the previous article and those that, to the same effects, the General Meeting deems appropriate.  The Community may provide these services with its own personnel and means and may also entrust their provision to third parties through the legal and economic forms that are appropriate.

TITLE II.  FROM THE OWNERS: YOUR RIGHTS, OBLIGATIONS, AND FEES.

ARTICLE 4. RIGHTS.

The owners, members of the community, will have the right to use the private assets according to their nature and destination and to use and enjoy the common elements and services in a way that does not harm the interests of the Community, nor prevent, disturb or hinder the right of others as well as to participate, in the manner provided in these Statutes, in the governing bodies of the Community and in all the benefits that can be obtained through them.  All co-owners, in full ownership, may carry out the works they want inside their apartment, as long as they don’t affect the security of the property or any common element or service, for which they must submit to the Administrator, fifteen days in advance, a certificate issued by an Architect accrediting the aforementioned points, without this requirement no work will be allowed.  Every occupant of an apartment in the city of Vacaciones will be able to practice naturism both in the private areas and in the common ones, without any co-owner or occupant being able to criticize this way of life or hinder it in any way.  To this end, at the first meeting of the Community Board, the Naturist regulations of the city of Vacaciones will be approved, whose rules must be observed and respected by all its occupants.  Apartments numbers one to 53 and 115 to 119, both inclusive, will be subject to temporary ownership. Each owner, beneficiary of periodic enjoyment, will have the right to occupy their apartment each year precisely during the time or period determined in their respective sales contracts.

ARTICLE 5. OBLIGATIONS.

The obligations of each owner will be:

a).  Maintain his private property in good condition.

b).  Consent in their private property to carry out the work that is necessary for the maintenance of the common elements and services, with the Community being responsible for the necessary expenses to restore the things to the state they were in, without having to be compensated in any case the possible loss of enjoyment of the department.

ARTICLE 6. PARTICIPATION FEES.

ARTICLE 7. USE BY THIRD PARTIES.

ARTICLE 8. COMMERCIAL PREMISES.

The premises of the commercial center of the City of Vacaciones may be subject to material division to form other smaller and independent ones, provided that this is following current legal provisions and provided that the new premises thus formed by the division have direct access to the common circulation area or the exterior.  Likewise, the premises may increase their surface by aggregation, in whole or in part, of other adjoining units in the same building.  In either case, the new participation quotas will be set in the common elements that correspond to the refurbished premises, always taking into account the proportionality criterion, according to their respective surfaces and without said modifications altering at all the quotas of the premises not affected by division or aggregation.  In addition to the limitations that derive from the content of these statutes, the owners or occupants by any title of two premises will be subjected especially to the following: Given that the principle of exclusive exploitation is the basis of the Shopping Center, the premises must be used solely for the exercise of the commercial activity for which they have been assigned, which in no case may enter into competition with those carried out by the city of Vacaciones Management Company.  In no case may the owner or the holder of the commercial activity change the destination of the premises without the consent of the administrator and the Board of Co-owners.  In no case may All or part of a premise or home can be used, except for the premises used as a pharmacy, which may have a restroom for emergency night shifts, and the supermarket, which may, under the same conditions, accommodate a receptionist employee for deliveries at night.  The owners, in the case of a lease or transfer of the use of the premises, by any title, are obliged to include in the corresponding contract, a copy of the present statutes, forcing themselves, especially the new occupants to submit to these provisions, being responsible the owner before the community, of the non-compliance of the statutes that the tenant or assignee may incur.  Likewise, these statutes will be included as an annex to the legal business in question, in all transfers of ownership of premises.  Given that the city of Vacaciones is being built in phases, the developer company together with the administrator may provisionally authorize the destination of accommodation units for commercial uses or post-sale management of the city of Vacaciones. 

TITLE III.  BODIES OF THE COMMUNITY.

ARTICLE 9. MANAGEMENT AND REPRESENTATION.

The community will be administered: By the General Meeting of Owners.  By the President and, where appropriate, the Vice President.  By the Administrator who will also act as Secretary. 

ARTICLE 10. GENERAL MEETING OF OWNERS.

The General Meeting of Owners constituted "in accordance with these statutes, represents all those, and their agreements validly adopted, with obligations for those absent and dissidents. Each owner has one vote, the value of which will be the Share that expresses their participation in the Community. Every owner will have the right to - Attend the Meeting with a voice and vote. The attendance will be personal or by legal or voluntary representation, sufficient to accredit this a writing addressed to the President, regarding the call in question, and signed "by the owner,

ARTICLE 11. ATTRIBUTIONS OF THE BOARD.

To know and decide on other matters of general interest to the community, agreeing on the necessary or convenient measures for the best common service.

 

ARTICLE 12. MEETINGS OF THE BOARD.

The General Meeting will meet in ordinary session at least once a year, to examine and approve, in harassment, the accounts of the previous year and the budget to be drawn up for the current year, as well as to resolve any other matter included in the Agenda of said call. The extraordinary meeting shall be held whenever it is called for this purpose by the Manager, by order of the President, or at the request of the owners representing at least twenty-five percent of the community. The summons will be made by ordinary mail, at least 30 days in advance, to the address designated by the owner for this purpose, or, failing this, to the apartment to which the owner belongs. The summons shall necessarily indicate the day, time, and place of the meeting, as well as the matters to be discussed. The notice shall also be posted on the notice board located in the reception area. Likewise, a second summons may be called for a later date, at least twenty-four hours in advance in the event that the necessary quorum is not obtained at the first meeting. The Meeting shall be validly constituted at the first call when the owners representing the majority of the participation quotas are present or represented, and at the second call, whatever the number of attendees.

 

ARTICLE 13. RESOLUTIONS.

For the adoption of the resolutions within the competence of the General Meeting, a simple majority of the quotas in attendance shall be sufficient, except in the cases indicated below, when a qualified majority shall be required. The unanimous agreement of all the owners shall be required when it concerns the approval or modification of the rules contained in these by-laws. To modify or terminate the contract with the company in charge of the Administration during the fifteen (15) day period referred to in article 15, the favorable agreement of at least two-thirds of the quotas of the community shall be required. -When the qualified majority cannot be obtained due to lack of (attendance) of those present at the Meeting, the agreement may be adopted by a simple majority of those present, notifying the agreement in a detailed and irrefutable manner to the owners, not in attendance, and the votes in favor of those quotas whose owners do not expressly express their disagreement within a period of thirty days shall be counted as votes in favor. 

 

ARTICLE 14. THE PRESIDENT.

At the ordinary meeting held to approve the accounts of the previous year, the Board of Owners shall appoint each year from among its members a Chairman, and if necessary, a Vice-Chairman to replace him in case of absence, and who shall represent the community in court and outside the community in matters affecting it. The office of President shall be mandatory and free of charge, and the same owner may be re-elected to the office, without such re-election being imposed against his will. ARTICLE 15. APPOINTMENT OF THE ADMINISTRATOR.

Given that the city of Vacaciones is a tourist establishment, whose - management, direction, and administration must be entrusted to a specialized company for a period of fifteen years, counting from the constitution of the Community of Owners, will exercise the functions of Community Administrator of the company that NATURALEZA COSTA DEL SOL, S.A.  as a promoter of the designated city of Vacaciones. 

ARTICLE 16. DUTIES OF THE ADMINISTRATOR.

Corresponds to the Administrator: a).  Keep the Community Books, as well as the - accounting of the same.  b) Make an annual expense budget for the following year and present the accounts and balance sheet.  c).  Make the collections and make the appropriate payments.  d).  Carry out the functions of the Secretary of the Community.  and).  Attend to the conservation of common goods and services, ordering ordinary repairs and even extraordinary ones when the urgency of the case requires it.  F).  Appoint and dismiss the personnel at the service of the city of Vacaciones and give them the appropriate orders and instructions.  g).  Coordinate the activities that are carried out in the whole of the city of Vacaciones, mainly about the exact compliance with the Naturist Regulations of the city of Vacaciones.  h).  Execute the agreements that are adopted in terms of works, repairs, or improvements, preparing the corresponding budget for those that have an extraordinary nature for approval by the Board and adjudicating the performance of those that have an ordinary nature in the manner it deems convenient.  i) Carry out all those functions that the Board of Owners entrusts to it, in particular sports and entertainment activities.  j).  Remove the announcements and posters placed in violation of these statutes.  k).  Remove, and, where appropriate, lock up animals that are loose in the 14 common areas or are in areas that are prohibited for them.  one).  Enforce these Statutes and the Naturist Regulations of the city of Vacaciones.  m).  The hotel management of the establishment follows the regulations on "Vacation Cities" and the Statute for Private Tourist Companies and Activities.

TITLE IV. ECONOMIC REGIME OF THE COMMUNITY.

ARTICLE 17. COMMON EXPENSES.

The expenses of maintenance, conservation, repair, renewal, or modification of common goods and services, will be the responsibility of all co-owners in proportion to the Share assigned to their respective properties.  In particular, common expenses are considered:

1.  Expenses for entertainment and conservation of the access roads to the city of Vacaciones, "passages, walks and open spaces with their elements of equipment and lighting.

2. Expenses for entertainment, improvement, and conservation of the gardens, green spaces, free spaces, paths g. of the elements of equipment installed in said gardens and free green spaces

3. Expenses for entertainment, repair, and use of premises for general common services, or affected by the collective use of all co-owners

4. Expenses related to all movable objects and supplies that are a consequence of the previous sections, and in particular, the expenses of public supply of water, public and private use, products of maintenance and cleaning, and garbage disposal expenses

5. Salaries and social security charges of the security guards, lifeguards, and all the personnel employed in the maintenance of the goods and common services. 

6. The fees of the Entity (min) I say administrator of the city of Vacaciones.

ARTICLE 18. WORKING FUNDS.

The General Meeting will determine the economic fund set up by the Community to meet the payment of its needs, which, in any case, will not be less than half of the annual budget, setting an amount for each owner in proportion to their respective Share, in order to provide said fund of the necessary amounts.  This endowment - of the working capital is understood without prejudice to the amounts that the owners will have to pay to face the budget of expenses approved annually.  In the event of an apartment being sold, the community will reimburse the seller for the Share, so that it corresponds to the advanced working capital.

ARTICLE 19. PAYMENT OF FEES.

The budget will determine the fees that each owner must pay to meet the expenses of the Community.- These fees will be paid quarterly in advance.  The payment of the quotas will be made through a deposit in the current account opened in the name of the Community.  After a period of ten days from the date set for payment of the quotas without having verified this, the Administrator will require it in writing, and after another ten days from the request, without the owner having complied with his obligation, the Community, represented by the President or by the Administrator, may demand the payment by judicial means being the responsibility of the debtor, any expenses originated for this reason, including the fees of Lawyer and Attorney.  Failure to pay ordinary or extraordinary installments on the established date will automatically cause the defaulting owner to default, without the need for a requirement with the obligation to pay late-payment interest at an annual rate of 10% until the date of full payment.

ARTICLE 20. PAYMENT TO FORFAIT OR PERIODIC RISK PRICE.

In the event that the Community contracts with the Management Company of the city of Vacaciones the assumption of all ordinary or necessary expenses for the adequate maintenance of the city of Vacaciones and its services and common elements defined in article 32, as well as satisfy taxes, charges, and responsibilities that are not subject to individualization in exchange for a ski pass or periodic price increase.  During the validity of the agreement, paragraphs b, and C, of ​​article 11, paragraph 1 of Article 12, paragraphs a, and b, of article 16, and articles 18 and 19 will remain suspended.-

ARTICLE 21. LIABILITY PAYMENT OF FEES

The owner will be "in principle directly responsible for the payment of ordinary or extraordinary fees to the Community.  The successive owners will respond to the debts and overdrafts that two transferors have contracted with the Community, without prejudice to the real condition of the property to the payment of expenses produced in the last year and the due part of the annuity current.

ARTICLE 22.  DEPOSIT OF FUNDS.

The funds of the Community will be deposited in a current account opened in a local bank, which can only be disposed of by the President, or in default by the Vice President, and any case the "Administrator.

FINAL DISPOSITION.

The regulation of These statutes - "configure the content of the property right of the properties of the city of Vacaciones and, consequently, will affect both the current owners and the successors in the title by any title, universal or particular inter Vivos or Mortis causa. SPECIAL RULES FOR TIMESHARE APARTMENTS.

ARTICLE 1. The apartments must be used exclusively for temporary occupation by each one of the different co-owners, or their right-holders, precisely during the time or period determined in their respective purchase and sale contracts, the apartments may only be occupied by the maximum number of people for whom they have been intended.

ARTICLE 4. ARTICLE 5. The change is authorized during the periods of occupation between - the (illegible) I mean co-owners of the same apartment or different apartments, although they must notify the Administrator in writing thirty days in advance.

ARTICLE 6. ARTICLE 7. The apartments must be vacated compulsorily during the periods established in the respective sales contracts.  In case of delay, the owner of the corresponding period must pay as rent for each day of delay or fraction an amount equivalent to one-seventh of the price set for the rent for a period of two weeks, according to the rate applied for the said period.- Said compensation will benefit the co-owner of the following period of occupation, without prejudice to the fact that he may exercise the actions that correspond to him to claim reparation for the damages that have actually been caused, notwithstanding the payment of the aforementioned indemnity.- In no case may he make any claim against the Administrator.

ARTICLE 8. The Administrator is generally authorized to open and enter the departments for service needs, to verify the state of maintenance and in general, whenever deemed necessary for the good administration of the property, without any authorization other than that resulting from the present standard.

ARTICLE 9. The common expenses that are incumbent on all - the co-owners of each apartment, include 1. All the expenses inherent to each apartment by application of the community statutes of the city of Vacaciones.  2. The expenses inherent to the services, maintenance, repair, and replacement of the furniture and equipment, are included in the inventory.  The repair or replacement expenses made by the Administrator attributable to an individual owner will be billed directly to the same.  3. The taxes, fees, and excise duties that are levied on the ownership of the apartment and that are not subject to individualization.  4. Containment insurance.  5. The expenses of the hotel services consisting of the supply, washing, change, once a week, of linen or towels, and the cleaning of the apartment twice during each period of enjoyment. These Services will be provided by the management company and billed at a flat rate by period and type of apartment.  The nature and scope of these benefits may be modified by the Board of Co-Owners by agreement of the simple majority of attendees, present or represented.- 6. The cost of electricity.- 7. And in general, all the expenses related to the management and maintenance of each department, as well as the carrying out of the works and repairs that are carried out by application of the norms contained in the present statutes.  All these common expenses will be paid by each co-owner in proportion to the Share that each one has in the condominium of the apartment.

ARTICLE 10. The cleaning of the apartment, indicated in the previous article, does not include the cleaning of crockery and household items, which must be carried out by each owner.  Each owner will leave his apartment in a perfect state of cleanliness at the time of his departure, since the part of the hotel services indicated in article 9 to be carried out by the Management Company, between 10:00 and 16:00, is limited to the change of bed linen and towels.  However, since the Management Company is responsible for the state of cleaning and maintenance of the apartments, it will proceed, if necessary, with the appropriate cleaning supplements and the replacement of deteriorated or missing objects or furniture.  The cost of this operation will be charged to the owner responsible for this work.  It is expressly prohibited for the occupants of a timeshare apartment to use items outside the apartment, such as towels, chairs, etc.

ARTICLE 11. A working capital will be set up to meet the payment of the needs of the time-share apartments, which will be equal to half the annual budget for the common expenses of each apartment.  This endowment of the working capital is understood without prejudice to the amounts that the owners will have to pay to meet the budget for expenses approved annually.  In case of sale of an apartment, the Community will reimburse the seller for the share.  that corresponds to it in the advanced working capital.

ARTICLE 12. The annual quotas will be paid by each owner two months before the beginning of their period of enjoyment, based on the budget voted by the co-owners.
